# Alarko Carrier esas sözleşmesini sadeleştiriyor

Alarko Carrier Sanayi ve Ticaret A.Ş. (ALCAR) Yönetim Kurulu, şirketin esas sözleşmesinin
güncel mevzuat hükümlerine uygun olarak sadeleştirilmesi çalışmaları kapsamında 
önemli değişikliklere karar verdi.

Kararına göre, esas sözleşmenin 2, 3, 4, 5, 6, 10, 11, 12, 13, 14, 15, 16, 17, 18
ve 19. maddeleri tadil edilecek. Ayrıca mülga 7, 8, 20 ve 21. maddeler yerine yeni
hükümler eklenecek. Bunun yanı sıra 22, 23, 24, 25, 26, 27, 28, 29, 30, 31, 32, 
33, 34, 35, 36, 37, 39, 40 ve 41. maddeler esas sözleşmeden çıkarılacak.

Yönetim Kurulu, Sermaye Piyasası Kurulu, T.C. Ticaret Bakanlığı ve İstanbul Ticaret
Sicili Müdürlüğü dahil olmak üzere ilgili tüm resmi kurum ve kuruluşlara gerekli
başvuruların yapılmasını da kararlaştırdı.

Şirketimiz Yönetim Kurulu, diğer hususların yanı sıra;Şirket esas sözleşmesinin güncel mevzuat hükümlerine uygun olarak sadeleştirilmesi çalışmaları kapsamında, Şirket esas sözleşmesinin 2, 3, 4, 5, 6, 10, 11, 12, 13, 14, 15, 16, 17, 18 ile 19. maddelerinin Ek-1'de yer alan tadil tasarısında gösterildiği şekilde tadil edilmesi, mülga 7, 8, 20 ile 21. maddelerinin yerine Ek-1'de yer alan tadil tasarısında gösterilen 7, 8, 20 ile 21. maddelerin esas sözleşme metnine eklenmesi ve 22, 23, 24, 25, 26, 27, 28, 29, 30, 31, 32, 33, 34, 35, 36, 37, 39, 40 ile 41. maddelerinin esas sözleşme metninden çıkarılmasına,Yukarıdaki hususlar kapsamında, Şirket esas sözleşmesinin tadil edilmesine ilişkin olarak SPK, T.C. Ticaret Bakanlığı, İstanbul Ticaret Sicili Müdürlüğü de dâhil olmak ve bunlarla sınırlı olmamak üzere ilgili tüm resmi kurum ve kuruluşlara gerekli başvuruların yapılmasınakarar verdi.Bu açıklamamızın İngilizce çevirisi eş anlı kamuya açıklanmış olup, açıklama metinlerinde herhangi bir farklılık olması durumunda

Our board of directors resolved as follows, among other things:As part of the efforts to simplify our articles of association in line with the current legislation, our articles of association shall be amended with respect to articles 2, 3, 4, 5, 6, 10, 11, 12, 13, 14, 15, 16, 17, 18 and 19 as set forth in the draft amendments attached as Annex-1; the new articles 7, 8, 20 and 21 as set forth in the draft amendments attached as Annex-1 shall be incorporated into the articles of association in place of the repealed articles 7, 8, 20 and 21; and articles 22, 23, 24, 25, 26, 27, 28, 29, 30, 31, 32, 33, 34, 35, 36, 37, 39, 40 and 41 shall be repealed.All necessary applications shall be made to all relevant official institutions and organizations, including but not limited to the Capital Markets Board, the Ministry of Trade and İstanbul Trade Registry Directorate, for the consummation of the amendment of our articles of association. A Turkish version of this announcement has been disclosed simultaneously. In the event of any discrepancy between the Turkish and English versions of this announcement, the Turkish version shall prevail.
