Çates Elektrik’in ilişkili taraf işlemleri yönetim kurulundan geçti

Şirketimizin İlişkili Taraf İşlemlerine İlişkin Esaslar'ı uyarınca, her mali yıl başlangıcında ilgili mali yıla ilişkin gerçekleştirilmesi öngörülen Sürekli İlişkili Taraf İşlemleri Yönetim Kurulu'nun onayına tabi olup, söz konusu yönetim kurulu kararının ticari sır niteliği taşımayan içeriğinin özetinin kamuya açıklanması gerekmektedir.

Şirket'in grup içi işlemleri, Türk transfer fiyatlandırması mevzuatının belirlediği transfer fiyatlandırması yöntemleri ile test edilmektedir ve bu işlemlerde kullanılan fiyat ve bedellerin tespitinde uygulanan transfer fiyatlandırması yöntemleri hakkında detaylı bilgiye raporun ilgili bölümlerinde yer verilmiştir.

Bu doğrultuda, Yönetim Kurulumuz, 29 Haziran 2026 tarihli ve 2026/17 sayılı kararı ile, Yönetim Kurulumuz tarafından hazırlanan raporun sonuç kısmı aşağıda belirtilmiştir:

Şirket'in İlişkili Taraflarla İşlemler Politikasına ve Sermaye Piyasası Kurulu'nun ("SPK") II-17.1 sayılı Kurumsal Yönetim Tebliği'nin ("Tebliğ") 10. maddesine istinaden;

Şirketimizin Aydem Holding ile yaygın ve süreklilik arz eden alım işlemlerinin 01.01.2026 – 31.12.2026 hesap dönemi içerisindeki tutarının, önceki yıl finansal tablolarında yer alan satışların maliyetine olan oranının şirket politikasına göre %3'ü geçmesi beklenmekte olup, Tebliğ'in yukarıda belirtilen ilgili maddesine göre %10'u geçmesi beklenmemektedir.

Şirketimizin 01.01.2026 – 31.12.2026 hesap döneminde Aydem EPSAŞ ile gerçekleştireceği yaygın ve süreklilik arz eden elektrik satış işlemleri tutarının son finansal tablolarda yer alan hasılata, Bereket Tedarik ile gerçekleştireceği yaygın ve süreklilik arz eden elektrik alış işlemleri tutarının ise satışların maliyetine oranının, şirket politikasında belirlenen %3 ve Tebliğ'in anılan maddesinde düzenlenen %10 eşiklerini aşması öngörülmektedir.

Şirket'in Esaslar kapsamında belirtilen eşikleri aşan işlemleri de dâhil olmak üzere, farklı fonksiyonlar ve riskler üstlenilerek gerçekleştirilen grup içi işlemleri, Türk transfer fiyatlandırması mevzuatının belirlediği transfer fiyatlandırması yöntemleri ile test edilmektedir ve bu işlemlerde kullanılan fiyat ve bedellerin tespitinde uygulanan transfer fiyatlandırması yöntemleri hakkında detaylı bilgiye raporun ilgili bölümlerinde yer verilmiştir.

İşbu raporda; 2026 yılı içerisinde yukarıda ifade edilen ilişkili taraflar ile yapılan işlemlerin koşulları, fiyat belirleme yöntemleri ve bu yöntemlerin seçilmesindeki gerekçeler açıklanarak, işlemlerin piyasa koşullarına uygunluğu hakkında bilgi sunulmuştur.

In accordance with our Company's Principles Regarding Related Party Transactions, the Continuous Related Party Transactions anticipated to be carried out for the relevant fiscal year at the beginning of each fiscal year are subject to the approval of the Board of Directors, and a summary of the content of the said board of directors' decision that does not qualify as a trade secret must be disclosed to the public.

The Company's intra-group transactions are tested using the transfer pricing methods determined by the Turkish transfer pricing legislation, and detailed information regarding the transfer pricing methods applied in determining the prices and values used in these transactions is included in the relevant sections of the report.

In this direction, by our Board of Directors' decision dated June 29, 2026, and numbered 2026/17, the conclusion section of the report prepared by our Board of Directors is stated belo

Based on the Company's Policy on Transactions with Related Parties and Article 10 of the Capital Markets Board's ("CMB") Corporate Governance Communiqué No. II-17.1 ("Communiqué");

It is expected that the ratio of the Company's recurring and continuous purchase transactions with Aydem Holding during the accounting period from January 1, 2026, to December 31, 2026 to the cost of sales reported in the previous year's financial statements will exceed the 3% threshold set forth in the Company's policy; however, it is not expected to exceed the 10% threshold stipulated in the relevant provision of the Communiqué referred to above.

It is anticipated that, during the accounting period from January 1, 2026, to December 31, 2026, the ratio of the Company's recurring and continuous electricity sales transactions with Aydem EPSAŞ to the revenue reported in the latest financial statements, and the ratio of the Company's recurring and continuous electricity purchase transactions with Bereket Tedarik to the cost of sales, will exceed both the 3% threshold specified in the Company's policy and the 10% threshold stipulated in the relevant provision of the Communiqué.

The Company's intra-group transactions, which are carried out by assuming different functions and risks, including those exceeding the thresholds specified under the Principles, are tested using the transfer pricing methods determined by the Turkish transfer pricing legislation, and detailed information regarding the transfer pricing methods applied in determining the prices and fees used in these transactions is included in the relevant sections of the report.

In this report, by explaining the terms of the transactions carried out with the above-mentioned related parties within the year 2026, the price determination methods, and the justifications for selecting these methods, information regarding the compliance of the transactions with market conditions has been presented.
