("YKP"), and AZ International Holdings S.A., part of the Azimut Group ("AZ Holdings"), regarding the transfer to AZ Holdings of our Bank's 12.65% stake in the share capital of YKP and the 87.32% stake held by our subsidiary Yapฤฑ Kredi Yatฤฑrฤฑm Menkul Deฤerler A.ล. ("YKY"), together with the shares held by the other shareholders. Furthermore, a Distribution Agreement Protocol ("Protocol") was executed among our Bank, YKP, AZ Holdings and Azimut Portfรถy Yรถnetimi A.ล., setting out the principal terms and commercial conditions of the Distribution Agreement envisaged to be executed for the distribution by our Bank, for a period of 15 years, of the investment products managed by YKP following the transfer of YKP shares. The Protocol includes a non-compete undertaking in Tรผrkiye and an exclusivity undertaking for distribution, subject to certain exceptions. Subsequently, as announced in our public disclosure dated 10.09.2026, the Competition Board's approval of the aforementioned share transfer was made public.It has been learned that the Competition Board has decided to grant an individual exemption, pursuant to Article 5 of Law No. 4054 on the Protection of Competition, for the duration of the agreement, to the Distribution Agreement to be executed in accordance with the Distribution Agreement Protocol and the terms set forth therein.Efforts to fulfill the remaining closing conditions, including obtaining the necessary approvals from the Capital Markets Board and executing the Distribution Agreement, are ongoing.Material developments regarding the matter will be disclosed to the public.This statement has been translated into English and simultaneously announced for informational purposes.
