Beta Romanya ve Kosova’dan 1,88 milyon euro’luk transformatör siparişleri

Şirketimizin halka izahnamesinde; Şirketimiz ile Beta Elektrotechnik GmbH (Yeni Unvanı: Akar Energy GmbH) arasında imzalanan distribütörlük sözleşmesinin 08.06.2026 tarihinde feshedildiği, söz konu sözleşmeye konu olan ürün ve bölgelerdeki satışların Şirketimiz pay sahiplerinden Yusuf Cenk Dağsuyu ve Hakkı Mert Dağsuyu pay sahipliğinde kurulan Beta Enerji Europe GmbH üzerinden gerçekleştirileceği ifade edildi.Yukarıda yer alan husus kapsamında; Beta Enerji Europe GmbH firması, Romanya'daki BESS Projesi kapsamında kullanılmak üzere 250 MVA gücünde transformatörün tedariki, nakliyesi, montajı, devreye alınması ve test işlemlerini kapsayan 1.880.000 Euro tutarında 13.10.2026 geçerlilik tarihli sözleşme imzaladı. Söz konusu transformatör, Şirketimizin yeni üretim tesisinde ilk kez üretilecek 250 MVA gücündeki transformatör olacak.Ayrıca, Şirketimiz Kosova'da gerçekleştirilecek bir proje kapsamında kullanılmak üzere muhtelif güçlerde dağıtım transformatörü tedarikine ilişkin 675.043 Euro tutarında 13.10.2026 geçerlilik tarihli sözleşme imzalandı.Söz konusu transformatörlerin üretimi Şirketimiz tarafından gerçekleştirilecek ve teslimatlar sözleşmelerde belirlenen şartlar ve takvim çerçevesinde gerçekleştirilecek.Sözleşmelerin bedeli Türkiye Cumhuriyeti Merkez Bankası'nın Euro döviz alış kuru esas alındığında 140.802.032 TL'sına karşılık geliyor. Sözleşmelerin bedeli Şirketimizin 2025 yılı sonu satış hasılatına oranı %3'dür.Bu açıklama bilgilendirme amacıyla İngilizce'ye çevrildi. Bu açıklamanın Türkçe ve İngilizce versiyonları arasında farklılık olması halinde Türkçe versiyonu esas alınacak.

As disclosed in the Company's public offering prospectus, the distributorship agreement entered into between the Company and Beta Elektrotechnik GmbH (now known as Akar Energy GmbH) was terminated on 8 June 2026. It was further disclosed that sales of the products in the territories covered by the terminated agreement would be conducted through Beta Enerji Europe GmbH, a company established by the Company's shareholders, Yusuf Cenk Dağsuyu and Hakkı Mert Dağsuyu.In this context, Beta Enerji Europe GmbH has entered into a contract, effective as of 13 October 2026, with a total value of EUR 1,880,000, covering the supply, transportation, installation, commissioning and testing of a 250 MVA power transformer for a Battery Energy Storage System (BESS) project in Romania. This will be the first 250 MVA power transformer to be manufactured at the Company's new production facility.Furthermore, the Company has entered into a contract, effective as of 13 October 2026, with a total value of EUR 675,043 for the supply of distribution transformers of various capacities for a project in Kosovo.The transformers covered by these contracts will be manufactured by the Company, and deliveries will be made in accordance with the terms and schedules stipulated in the respective contracts.Based on the EUR buying exchange rate announced by the Central Bank of the Republic of Türkiye, the aggregate value of the contracts is equivalent to TRY 140,802,032.The aggregate value of the contracts represents 3% of the Company's revenue for the financial year ended 31 December 2025.This disclosure has been translated into English for informational purposes only.
